One decision clarified that a call for the performance of an obligation under Section 204(1) of the Business Corporations Act, may, under certain conditions, be made by a shareholder who has not been expelled, if subsequently approved by the company. The Court also emphasised the importance of formalising derivative actions. Another judgment addressed whether a membership contribution agreement can be considered usurious, focusing on the comparison between the value of the cooperative share and the subject of the contribution, particularly in cases of gross disproportion in performance.
